Bruce Brumberg

  

Bruce Brumberg has devoted most of his professional career to making complex legal and tax concepts understandable to people who do not enjoy reading the securities laws or the Internal Revenue Code. In myStockOptions.com, Bruce has created the premier source of web-based educational content and tools on stock compensation for plan participants, financial advisors, companies, and stock plan providers. The website has earned numerous awards and a US patent.

In October 2010, Bruce led the development and launch of a new website on nonqualified deferred compensation: myNQDC.com. The creation and management of these websites combine Bruce's in-depth understanding of stock plans and other types of compensation with his proven ability to present and explain complex legal, financial, human-resource, and compensation topics by using innovative techniques.

For example, Bruce has developed a number of videos used by thousands of companies worldwide for training executives and employees. He is the executive producer of the best-selling legal-compliance video Think Twice I: The Inside Story On Insider Trading, Think Twice 2: How The SEC Detects And Pursues Insider Trading, and Think Twice: The Sequel. These videos on preventing insider trading are now products of Brumberg Publications. They have been featured in The New York Times, The Boston Globe, and The National Law Journal and on CNBC and National Public Radio.

Think Twice I, a drama featuring well-known former SEC officials in acting roles (including former SEC head Harvey Pitt), has risen to cult status at some companies. The New York Times has compared it to the training-video classics Reefer Madness and Red Asphalt. He co-produced with Golden Sky Productions a video on sexual harassment entitled Hands Off! The Massachusetts Sexual Harassment Prevention And Compliance Video. Developed with the participation of the Massachusetts Commission Against Discrimination, Hands Off! has been recommended by BusinessWeek and HR publications.

The highly respected newsletters conceived and written by his other company, Brumberg Publications, include the Digest For Compliance Professionals, the Review For Dealmakers, and the Brief for Investment Management Professionals. These are now published by RR Donnelley. He also is a significant contributor to the NASPP's Stock Plan Advisor and to The Corporate Executive.

One of the many books that Bruce and Brumberg Publications developed is the highly respected treatise Securities Regulation In Cyberspace, by Professor Howard Friedman. This book covers in detail the SEC rules and company practices for Internet distribution of prospectuses, proxy statements, and stock-plan documents. Brumberg Publications also developed and edited International Stock Plans: The Practitioner's Guide To Exporting Employee Equity, by Louis Rorimer. Originally published by Bowne & Co. (now owned by Aspen Publishers), it has extensive and essential summaries, analyses, and materials for companies that are globalizing their stock-option plans.

On the Advisory Board of the National Association of Stock Plan Professionals, Bruce is co-editor of the NASPP's newsletter The Stock Plan Advisor and has been president of the NASPP Boston Chapter. Bruce has spoken at numerous conferences and seminars on stock options, securities disclosure, insider trading, and corporate governance and is regularly interviewed by the media on these subjects. Bruce has also served as an expert witness in stock option cases, reviewing documents and providing insight during the different stages of litigation. Outside the area of legal publishing, Bruce and his wife wrote a popular travel/business book entitled Watch It Made in the U.S.A. (now in its 4th edition), featured on CNN and Good Morning America. BusinessWeek reviewed it favorably.

Bruce graduated from the University of Michigan (Phi Beta Kappa) and the University of Virginia School of Law. He volunteers in teaching business and economics courses for Junior Achievement and in teaching tennis and empowerment skills with Tenacity (www.tenacity.com), along with various other community-service projects. He also coaches a high-school tennis team. In addition, for 23 straight years Bruce has raised money by riding his bike in the Pan Massachusetts Challenge (www.pmc.org), a fund-raising event to benefit the Jimmy Fund at Dana-Farber Cancer Institute. He lives in the Boston area with his wife Karen Axelrod and their two children.
