Transfer Restriction
A limit placed on a sale or transfer of company stock because of an SEC rule or a company-imposed requirement. For example, a private company may have a restrictive legend that specifies the transfer limits. A public company could have restrictions on ESPP and ISO stock that requires shares to stay in an account at the company's specified broker so it can track disqualifying dispositions.
