Privately Held Company
A business whose securities are not registered with the SEC and whose stock is not publicly traded. These types of companies can use stock compensation, often issued under Rule 701, though normally a liquidity event is needed for employees to realize financial value. Other terms for private companies include closely held business and pre-IPO company. Compare to publicly traded company.
