Share-Counting
A calculation that tallies the number of shares used by existing stock grants against the number of shares available for issuance under the stock plan's reserve. Companies carefully monitor the share usage of outstanding and new grants to minimize criticism by proxy advisors and institutional investors, and to reduce the need to obtain shareholder approval for a higher share reserve.
