Pass-Through Entity
A business structure in which the profits and losses are passed through to the owners, who pay taxes on them individually (e.g. a partnership, a limited liability company, or an S corporation). This contrasts with a C corporation, which pays taxes on its income directly instead of passing taxes to the owners. All of these types of entities can use equity compensation in some form.
