Form 1099-CAP

IRS Form 1099-CAP ("Changes in Corporate Control and Capital Structure") is issued to shareholders of a company who received taxable cash, shares, or other property, in exchange for shares they already held, through an acquisition of the company or a substantial capital restructuring. The company sends the form by January 31 of the year after the year in which the transaction occurred. See the form and its instructions.
