Form 3921

Companies are required to issue IRS Form 3921 to any employee who exercises incentive stock options (ISOs). The form must be issued by January 31 of the year after the year of ISO exercise. Companies also file this form with the IRS. Each ISO exercise is reported with boxes showing the following details:

  • grant date
  • exercise price per share
  • exercise date
  • the stock FMV on the exercise date
  • number of shares exercised
