A grant of unrestricted stock, restricted stock, deferred stock, or stock options in exchange for some form of cash compensation. In an acquisition, stock-replacement grants can also be post-acquisition grants in which the buyer adjusts the exercise price and the number of shares to preserve the same value that the grants had when the deal closed.
