Proxy Statement

An information document that the SEC requires public companies to provide to stockholders before they vote by proxy on corporate matters, such as a new or expanded stock option plan or the annual election of directors. The proxy statement contains: biographical information on the members of the Board of Directors; the top five executive officers' salaries, bonuses, and stock compensation; and any proposals from management or stockholders to be acted upon at the meeting.

Proxy statements also contain an "Equity Compensation Plan Information Table." The table is required when there is a stock plan proposal on which shareholders will vote. It presents the total number of shares to be issued and the weighted average exercise price of outstanding options. Information and data on stock compensation and grants for the prior fiscal year also appear in the CD&A and in tables on summary compensation, grants of plan-based awards, outstanding equity awards, and options exercised and stock awards vested.
