An equity grant in which actual receipt of the stock, and thus ordinary income tax, is delayed (but not FICA taxes). Companies may also use the phrase to denote any grant, such as restricted stock units, in which the contractual rights to receive stock depend on your working for the company over a specified period, or on performance goals.
