Payout Cap
A provision in a performance share plan, such as a plan using a performance condition based on relative TSR, that limits the payout when there is a negative absolute return for shareholders. For example, even when a company has outperformed other companies in its peer group, a negative TSR may still mean that the executives will not be rewarded, or may be rewarded only at minimum target levels.
