Certification

In the context of stock grants, certification is the process that a company's board of directors or its compensation committee goes through to verify that the goals of a performance share award have been reached. This occurs after the performance period ends. Once it is certified that the performance goals were met, the award vests or the shares are delivered, unless there is an additional time-based vesting requirement or deferral election feature.
