A formal disclosure that the IRS requires companies to send to employees. Examples include the information statements companies must send in January to optionholders who exercised ISOs or transferred ESPP stock during the prior tax year. For ESPP shares initially held in street name, the information requirement is triggered when the shares are sold/gifted.
