Outside Director
A company director who is not an employee or an executive of the company. The rules for corporate governance imposed by the SEC and stock exchanges require public companies to have a certain percentage or number of outside directors, especially on certain board committees (e.g. the compensation committee). An outside director's compensation often consists partly of equity awards, along with cash and perhaps nonqualified deferred compensation.
